All prices are subject to change without notice. We reserve the right to ship all orders at the prevailing price at time of shipment. Always check the invoice for the current dealer price.

TERMS

C.O.D., Net 10 E.O.M., cash or credit card with order. All orders will be shipped C.O.D. unless payment is received with order or prior arrangements have been made to establish an open account. By accepting any order from HELMET HOUSE, LLC., you are acknowledging that your company is entering into a business transaction under California state law at Calabasas Hills, California. Open account may be established by well rated firms subject to information supplied by the dealer. All open accounts are due ten days following the end of the month. A 1.5% per month late charge will be added to overdue acounts. When applying for open account please allow 3 weeks for processing. The Credit Department or your sales representative will notify you regarding your application status or acceptance. A $35.00 charge will be added to dealer accounts for any insufficient funds and/or returned checks. Helmet House Privacy Policy is available at http://dealer.helmethouse.com. OPEN ACCOUNT

SHIPMENT

Every effort will be made to ship orders complete the day they are received. If no instructions are received with your order, we will ship by the most reasonable means according to the size and shipping weight of your order.

FREE FREIGHT

Free freight on any shop order over $400.00 of shippable merchandise, except to Hawaii, Alaska and Puerto Rico. Free freight is not allowed on free- standing displays and in-store merchandisers. FREE FREIGHT WILL NOT BE ALLOWED ON OVERDUE ACCOUNTS. All goods are carefully packed and are in good condition when shipped from Helmet House. Any claims regarding the shipment of damaged goods must be made immediately to the shipper. CLAIMS All merchandise distributed by HELMET HOUSE, LLC. will be warranted in accordance with manufacturer’s own terms of warranty only. WARRANTY Please indicate if you wish “out of stock” items to be back ordered or cancelled. We do not pre-pay freight charges on back orders under $400.00 of shippable merchandise. BACK ORDERS All goods being returned to HELMET HOUSE, LLC. must be accompanied by a returned goods authorization number furnished by our office. We must be notified within 5 days of receipt of goods about incorrect or defective merchandise. If we are in error concerning items, appropriate credit will be applied to your existing account. If returned current merchandise was ordered incorrectly, a 20% restocking fee and freight will be charged to your account. Helmets returned to us must have the protective shield covering intact, all tags still attached and must be properly packaged in its original shipping bag, helmet box and an additional outside box to prevent damage — there should be NO exposed surface area of the helmet when bagged properly. All product returns must be accompanied by the original invoice number, all original product documents, manuals, warranty card, hangtags, etc. and be in original packaging suitable for resale. Closeout or sale merchandise may not be returned. Only account credit will be provided for returned merchandise. ABSOLUTELY NO CASH REFUNDS WILL BE MADE. RETURNS Only current product, and product that has been purchased in the previous 90 days of being discontinued, that is suitable for resale may be considered for stock rotation. A replacement ratio of 2/1 order to return value must be placed at the time the return is requested. Product must be in saleable condition as stated in returns. STOCK ROTATION All drop ship orders must be called out when placed. Freight plus $8.50 will be charged on all drop ship orders. A returned order due to “wrong address” will be charged $17.00. DROP SHIP ORDERS HELMET HOUSE, LLC. has no minimum order requirement; however, a service charge of $8.50 will be added to any order of $50.00 or less. MINIMUM ORDER HELMET HOUSE offers a dealer-only internet-based product ordering system at www.helmethouse.com. HOW PHOTOCHROMICS WORK Photochromic technology allows visors to automatically and seamlessly change from clear to dark in sunlight. The process works when photochromic dyes embedded into the lens or shield react to UV light, changing levels of darkness with the sun. Transitions Optical has been an industry leader in photochromic technology for 20 years and is known worldwide for its photochromic prescription eyeglasses: Transitions ® lenses. The company’s continued commitment to innovation has helped Transitions ® lenses to become the leading photochromic ophthalmic lens product and the number one eyecare professional-recommended photochromic lenses worldwide. Driven by innovation, the company has continually improved its core clear-to-dark product (Transitions ® lenses), and has expanded in other areas with additional products that meet consumers’ visual needs, including sunwear and everyday products with varying features (lightly tinted to very dark and variable polarization). When UV light is removed, a chemical reaction driven by ambient heat reconverts the activated photochromic molecules to their original, clear form and the lens fades. The amount darkening is a function of the competition between the activating and fading chemical reactions, the equilibrium condition established between them, and the specific photochromic molecules and the lens substrate. The more activated photochromic molecules that are present, the darker a lens becomes. The degree of darkness depends on the level of available UV radiation driving the activation reaction and the temperature of the lens, which drives the fade reaction.

PRODUCT DETAILS AND UV PROTECTION Transitions ® adaptive sunwear products have a range of light transmission levels, all optimized for the specific activity the product is designed for. Specifically, the SHOEI ® Transitions ® adaptive shield: • Non-activated — virtually clear • Activated — darkens to a 15% light transmission level at 72º Fahrenheit and 23º Celsius • Full activation in two minutes

TEMPERATURE

Like all photochromic products, temperature can cause fluctuation in performance. UV rays activate the photo- chromic molecules through a photochemical process — this makes the shield darken. The fade back reaction is actually driven by heat — so in extremely hot temperatures, the photochromic molecules are actually fading back while they are activating — this prevents the shield from fully darkening. Transitions ® lens technology is the most advanced in the industry, and is the least temperature sensitive, but there will be some performance variables depending on the temperature.
